This is a unilateral non disclosure letter. This template is in substance the same as our standard unilateral non disclosure agreement, but is in the form of a letter.
The non disclosure letter may be suitable for use in situations where a less formal and legalistic approach is appropriate. For example, where you are dealing with an individual who is unfamiliar with commercial contracts. Of course, it still needs to be signed or otherwise agreed by both parties to be enforceable. You cannot create contractual confidentiality obligations by simply sending the letter to another person.
