This premium SaaS terms and conditions contains all of the provisions in the standard version, but with a number of additions. The main additions are as follows: (i) provisions covering customisation work done by the vendor; (ii) provisions covering the licensing of an application that the customer must deploy in order to use the services; (iii) confidentiality provision protecting the vendor; (iv) contract management provisions; (v) extended indemnity provision; and (vi) a formal change control procedure. This document is in substance almost identical to our premium SaaS agreement template. The difference between them is largely presentational. The sample document includes a definition of "Documentation". How is this used in the rest of the terms and conditions?

First, where the documentation covers the use of the software in an adequate way, the licence may restrict such use so that it is "in accordance with the Documentation". Second, where the customer is granted a right to make changes to the platform, these may be restricted by reference to the documentation. Third, the warranties given by the service provider may be defined in terms of the documentation - e.g. the provider may warrant that the platform will perform substantially in accordance with the documentation. Fourth, any obligation on the part of the service provider to provide support services may be limited where the customer has used the platform otherwise than in accordance with the documentation.

Can the period of service provision under the software as a service T&Cs be subject to some minimum?

The terms and conditions include a minimum term definition, which plugs into the right to terminate on notice (i.e. without cause): "Either party may terminate the Agreement by giving at least 30 days' written notice of termination to the other party, expiring at any time after the end of the Minimum Term". This is of course optional.
