I'm looking for an international supply agreement for use in relation to my business. We will be the suppliers. Does this document help me in the event that, after contracting to supply some machinery, we are unable to do so through no fault of our own?There are a couple of optional clauses that could help you in these circumstances.First, if some event beyond your reasonable control prevents the delivery of the machinery, then you have a right to cancel the order. Second, even where an order is not cancelled, where some thing beyond your reasonable control gives rise to a failure or delay in you performing your contractual obligations, those obligations are suspended by virtue of the event or events.In addition, liability may be excluded in relation to losses arising out of such events.Is there a right in this document for the supplier to increase prices?Prices are agreed when a specific order is agreed.After an order is agreed, they may be varied by the supplier if you include the optional price increase clause. This provides that the supplier may increase the agreed prices by giving to the customer written notice of the increase at any time before delivery (or collection) of the products, but only if there is a material increase in the cost to the supplier of obtaining or delivering the products. Price increases may be limited to the amount of the cost increase.
