This template web partnership agreement is designed for documenting content-sharing partnerships between website operators. For instance, it may be suitable for use in the situation where website owners agree to cooperate through the placing of hyperlinks, adverts, posts, articles and other content, on their websites or website networks.
Many types of content-based partnership will involve no payment. However, a payment clause has been included in this template for those situations where one party is paying the other.
The document has been drafted on the basis that both parties will have content production or publication obligations, but it may quite easily be adapted for the situation where all of these obligations fall on one party.
Content is divided by the agreement into four categories:
- content produced by a party for publication on its own websites;
- content produced by a party for publication on the other party's websites;
- content produced by that other party for publication on its own websites; and
- content produced by that other party for publication the first party's websites.
This abstract scheme allows for lots of flexibility, with the details of different content types to be specified in the schedule to the agreement.
The agreement includes fairly detailed confidentiality provisions, protecting both parties.
Note: this is a "partnership" agreement in the business sense, not the legal sense. In other words, it does not create a legal partnership between the parties.
