This letter has been designed for use during contract negotiations, to enable one of the proposed contracting parties to suggest to the other proposed contracting party (or parties) amendments to the draft contract.
The template letter may be suitable for use where the number of suggested amendments to the draft contract is relatively small and a formal approach to negotiations is appropriate. Where a large number of amendments is required, it is usually better to provide a version of the contract with changes tracked (eg using MS Word track changes), rather than trying to set out each of the changes in a separate letter.
If you use this letter template, you will first need to identify the draft contract that will be the subject of your communication. Three different types of amendment are catered for by the letter: the addition of a new provision to the draft contract; the deletion of existing provisions from the draft contract; and the substitution of new provisions for existing provisions.
Notwithstanding that details of amendments may be set out in a letter, it is often better to include a marked-up version of the draft contract as well. This avoids any impression that you are asking the other party to do the work of actually incorporating the amendments into the document.
