This assignment of IP can be used to assign (i.e. transfer of ownership of) intellectual property rights (including copyright, patents, trade marks and design rights) from one person to another. The assignment includes provisions enabling specified rights to be easily carved-out from an assignment. It also includes an optional waiver of moral rights, which may be relevant where the intellectual property rights in question include copyright.

An assignment of registered IP rights should itself be registered with the appropriate regulatory authorities. For instance, an assignment of a UK registered trade mark should be registered with the UK IPO (using Form TM 16 - Application to record a change of ownership).

Can I use this template for assigning copyright where there are no other rights involved?

If are only assigning copyright, or only assigning trade mark rights, we recommend that you use a more specific template. The mixture of registered and unregistered rights in this assignment make it a little more awkward and a little less easy to use than the copyright assignment template and the trade mark assignment template.

What warranties are included in this document?

The suggested warranties (all of them optional) are as follows: a warranty that the assignor has the legal right and authority to enter into and perform its obligations under the assignment; a warranty that the assignor is the sole owner of all right, title and interest in the IP being assigned; a warranty that there are no subsisting licences of any rights in the assigned IP, and no subsisting agreements for the licensing of any rights in the assigned IP; and a warranty that, to the extent that the assigned IP constitutes registered IP, those registrations have been maintained and all renewal fees paid.
