Software as a services (SaaS) is a popular and still growing paradigm. These T&Cs can be used to create professional legal documentation for software provided as a service. They are designed for business-to-business services, and should not be used in relation to customers who are consumers. You can review the selected pages here:

Sample Software as a Service T&Cs

Two different provisions concerning the entry into force of the T&Cs are included. First, the T&CS may be agreed by the parties signing a "Statement of Services". Alternatively, the T&Cs may be incorporated into an online contracting procedure. The template includes clauses to deal with certain disclosure obligations under The Electronic Commerce (EC Directive) Regulations 2002, which apply where contracts are entered into online.

The contents of the SaaS terms and conditions are as follows:

(1) Definitions and Interpretation

There are a great variety of software applications that can be provided as a service. This template includes a wide range of optional provisions, thereby covering as many types of software service as possible. The document is 29 pages long, but once the footnotes, cover page and unnecessary optional provisions have been deleted, the end product should be considerably shorter.

Software as a Service Terms and Conditions Q&A

Software as a Service Terms and Conditions Q&A

Can this template be used for services provided to non-business customers?

Not as drafted. In order to use create terms and conditions suitable for the provision of services to consumers, the template would need substantial amendment. For example, where sign-up takes place online or otherwise at a distance, provisions dealing with the requirements of the Distance Selling Regulations would be required. Another obvious issue would be the broad scope of the suggested limitations of liability: the included provisions are too broad for a consumer contract.

What sort of change control procedure is included with this version of the SaaS terms and conditions?

There is a simple contract variations clause, requiring the written agreement of both parties for a change in the contract. If you would like a full change control clause, see the premium version of this document.
