You have a subsisting contract between two parties, and you need to amend that contract by removing provisions, adding new provisions or replacing/substituting provisions. If this is your situation, this amendment agreement template should help you.

In the definitions section of the amendment agreement, you need to identify the subsisting contract in questions.

In the core section of the agreement dealing with changes, you need to set out new provisions in full and list all provisions to be deleted.

You then need to specify the date upon which the changes will take effect. By default, this is the date upon which the amendment agreement is executed.

When amending a contract, it is crucial to check what the contract says about the process of amendment. Many contracts will simply require that amendments be in writing and signed by or on behalf of the parties - but others will have more elaborate amendment processes.
